Acceptance of Terms

By accessing our website, engaging in our consultations, or utilizing any IT services provided by Concierge IT, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms apply to all visitors, clients, and others who access or use our service.

Scope of Services

Concierge IT provides specialized Managed IT support, including but not limited to:

  • 24/7 Security Operations Center (SOC) monitoring.

  • HIPAA and regulatory compliance consulting.

  • Cloud infrastructure management and AI readiness assessment.

  • Strategic IT roadmap development and hardware/software support. All services are strictly governed by the specific Service Level Agreement (SLA) signed during the onboarding process.

Client Responsibilities & Conduct

To ensure high-quality service delivery, clients agree to:

  • Provide accurate, current, and complete information regarding their IT infrastructure.

  • Maintain the confidentiality of administrative credentials and account access.

  • Cooperate with our technical team during scheduled maintenance or emergency security patches.

  • Avoid using our infrastructure for any unlawful, fraudulent, or unauthorized activities.

Payment, Billing, and Renewals

  • Service Fees: Fees are determined based on the selected service package or custom quote.

  • Invoicing: Payments are due within [Insert Days, e.g., 15] days of the invoice date unless otherwise specified in your contract.

  • Late Payments: We reserve the right to suspend support or apply late fees if invoices remain unpaid beyond the grace period.

  • Tax: Clients are responsible for any applicable state or local taxes related to the services purchased.

Limitation of Liability & Warranty Disclaimer

While we provide enterprise-grade proactive monitoring and cybersecurity:

  • No Absolute Guarantee: No security system is 100% impenetrable. Concierge IT shall not be held liable for losses resulting from advanced zero-day exploits or third-party hardware failures.

  • Indirect Damages: In no event shall Concierge IT be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use or inability to use our services.

Confidentiality & HIPAA Compliance

Both parties agree to treat all business and technical information as confidential.

  • White-Glove Standard: We maintain the highest degree of discretion regarding your clinical operations and proprietary data.

  • Business Associate Agreement (BAA): For medical practices, our relationship is further governed by a signed BAA to ensure full compliance with HIPAA standards for handling Protected Health Information (PHI).

Intellectual Property Rights

All proprietary tools, software code, custom scripts, and website content provided by Concierge IT remain our exclusive property. Clients are granted a non-transferable, limited license to use these resources only during the active term of their service agreement.

Service Disruptions & Maintenance

Concierge IT strives for maximum uptime. However, we reserve the right to perform:

  • Scheduled Maintenance: Conducted during off-peak hours with prior notification to minimize disruption.

  • Emergency Updates: Critical security patches may be deployed immediately if a high-level threat is detected.

Termination & Refund Policy

  • Termination by Client: You may terminate your services according to the notice period specified in your SLA (typically 30-90 days).

  • Termination by Us: We reserve the right to suspend or terminate services immediately for breaches of security, non-payment, or illegal activity.

  • Effect of Termination: Upon termination, your access to our managed systems will be revoked, and final billing will be processed.

Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Florida. Any disputes, claims, or legal proceedings arising out of our services shall be resolved exclusively in the courts located in West Palm Beach, FL.
